By subscribing, you (“Client”) agree to the following terms with MBC Partners LLC (“MBC”).
MBC provides Philippines-based independent contractors for administrative, financial, marketing, customer support, business development, and other roles. Contractors are independent contractors — not employees of MBC or Client.
Engagements begin with a 6-month initial term. Month 1 is billed at a prorated daily rate based on your start date. Full monthly billing begins Month 2 and continues through Month 6, then auto-renews monthly until either party provides 30 days’ written notice.
To maintain cost-effective independent contractor pricing, Client agrees to manage contractors on an outcomes basis (weekly deliverables, not daily supervision). If Client requires employee-style controls, pricing may adjust starting Month 2:
Monthly retainer is due on the 1st via Stripe. Payments are non-refundable. A 10% late fee applies after the 7th. Accounts 60+ days past due may be sent to collections.
Canceling before the end of the 6-month initial term makes Client liable for the remaining balance of that term.
Contractor work product is assigned to Client upon full payment. Both parties keep each other’s information confidential for 10 years.
Client may not hire or solicit MBC’s contractors or staff for 2 years after termination. Violations are subject to liquidated damages equal to 2× the individual’s annual compensation.
MBC’s total liability is capped at 3 months of fees paid. No consequential or indirect damages are covered.
Disputes are resolved by binding arbitration under AAA rules in King County, WA, governed by Washington law. The prevailing party recovers attorney fees.
Subscribing constitutes acceptance of these terms in full.
